Preamble
Edvanz Information Technology Industry LLC, a limited liability company incorporated and existing under Investment Law No. 72 of 2017, registered with the Cairo Investment Commercial Registry under No. (290277), and having its registered office at Office H27, 52 Main Al-Tayaran Street, opposite the Health Insurance Hospital, Nasr City, Cairo, Arab Republic of Egypt, owns and operates the Edvanz educational technology platform. The company shall hereinafter be referred to as "Edvanz" or the "Company", and its website, applications, dashboards, systems, and related services shall collectively be referred to as the "Platform".
The Platform provides technological tools and solutions that enable Educational Centers and Teachers to manage and organize their educational and administrative services, including the management of Student and Parent accounts, attendance and absence records, Tuition Fee and collection data, videos, Educational Content, assignments, examinations, grades, and reports.
These Terms and Conditions govern the legal relationship between Edvanz and all users of the Platform, including Students, Parents, Teachers, Educational Centers, administrators, supervisors, and their personnel.
By creating an account on the Platform, accessing it, using any of its services, clicking an "Agree" or "Accept" button, or taking any similar electronic action, the User acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions and that they have reviewed the Privacy Policy published on the Platform.
Definitions
The following words and expressions shall have the meanings set out below, unless the context otherwise requires:
Platform: The Edvanz website, applications, dashboards, systems, and associated technology services. Company or Edvanz: Edvanz Information Technology Industry LLC, in its capacity as the owner and operator of the Platform.
Educational Center: Any school, academy, tutoring center, educational institution, or training institution that uses the Platform to manage its services.
Teacher: Any natural person, professional, or academic who uses the Platform to provide or manage educational services; create, upload, or manage Educational Content, examinations, assignments, and grades; or record attendance, absence, Tuition Fee, and collection data, whether independently or through an Educational Center.
Educational Service Provider: The Educational Center or Teacher that provides educational services directly to the Student independently of Edvanz.
Student: A person registered on the Platform to receive an educational service, view Educational Content, take examinations, or monitor attendance and results. A statement of the payment status of Tuition Fees relating to the Student's service may be displayed for monitoring purposes only, without requiring the Student to personally make any payment through the Platform.
Parent: The father, mother, guardian, custodian, or legal representative responsible for a minor Student. Payer: A Parent or any natural or legal person who, by agreement with the Educational Service Provider, pays the Tuition Fees due in respect of the Student directly to the Educational Center or Teacher. A Payer shall not be deemed a User of the Platform or a party to these Terms merely by making payment, unless the Payer creates an account on the Platform, uses its services, or accepts these Terms. User: Any person who accesses the Platform, creates an account on it, or uses any of its services, including Students, Parents, Teachers, Educational Center administrators, supervisors, and their personnel.
Account: The electronic account created in the User's name that enables access to the services and data allocated to the User according to their capacity and permissions.
Educational Content: Any video, audio or visual recording, memorandum, file, image, explanation, question, examination, model answer, assignment, assessment, grade, report, or educational material created, prepared, selected, uploaded, entered, or made available through the Platform by an Educational Center or Teacher.
Content Uploader: An Educational Center, Teacher, or administrator or supervisor authorized by either of them who creates, prepares, uploads, enters, publishes, or manages any Educational Content through the Platform.
In-Person or Non-Electronic Examination: An examination conducted at an Educational Center, classroom, or any other location, the details or results of which are recorded on the Platform.
Electronic Examination: An examination taken by a Student through the Platform using an electronic device.
Attendance Records: Data entered on the Platform concerning a Student's attendance, absence, lateness, or departure.
Payment Records: Administrative records and data entered on the Platform by an Educational Center or Teacher concerning amounts due for educational services, amounts collected, the date and method of collection, and overdue, cancelled, or refunded amounts, as applicable. Such records are based on data entered by the Educational Center or Teacher and do not, in themselves, constitute a payment receipt or invoice issued by Edvanz.
Payment Service Provider: Any bank, electronic payment company, electronic wallet provider, payment gateway, or financial service provider with which the Platform may integrate in the future to enable certain electronic payment methods, subject to specific terms presented to Users before activation of the service. Privacy Policy: The separate document explaining how personal data is collected, used, shared, protected, and retained.
Educational Subscription: A limited right to access a service, course, content, or collection of videos or examinations for a period and on terms determined by the Educational Service Provider, whether the service is provided free of charge or its fees are paid by the Payer directly to the Educational Service Provider.
Scope of Application
These Terms and Conditions apply to all Users of the Platform and to all services, features, and systems made available by Edvanz, whether accessed through the website, application, dashboard, or any other electronic means operated by Edvanz.
Certain services or features may be subject to additional terms or instructions presented before use, and such terms and instructions shall form an integral part of this document. In the event of any conflict between these Terms and specific terms applicable to a particular service, the specific terms shall prevail to the extent of that service, provided that no mandatory statutory rights are diminished. Commercial or technical agreements entered into between Edvanz and an Educational Center or Teacher shall not confer any direct rights upon Students or Parents unless expressly stated otherwise.
These Terms govern Users' use of the Platform. Technical fees payable to Edvanz, the subscription term of an Educational Center or Teacher, service levels, technical support hours, data processing on behalf of the Educational Service Provider, and data export upon expiry or termination of a subscription shall be governed by the relevant commercial agreement, subscription agreement, or data processing agreement entered into between Edvanz and the Educational Service Provider. In the event of a conflict, the commercial agreement shall govern the relationship between Edvanz and the Educational Service Provider, while these Terms shall continue to govern the use of end-user Accounts.
Legal Nature and Role of Edvanz
Edvanz is a technology platform that assists Educational Centers and Teachers in managing their educational and administrative operations. It is not a school, Educational Center, or certificate-awarding body and does not directly provide educational services to Students unless it expressly announces a specific service that it provides itself.
The Educational Center or Teacher provides services to Students independently and is responsible for the Educational Content, curricula, explanations, staff qualifications, class schedules, examinations, grades, assessments, Tuition Fees, cancellation and refund policies, Attendance Records, and dealings with Students and Parents.
Edvanz is not a party to the educational, financial, or contractual relationship between the Student, Parent, or Payer, on the one hand, and the Educational Center or Teacher, on the other, even where registration, content display, examinations, attendance monitoring, or recording of Tuition Fee status occurs through the Platform.
The appearance of any Educational Center, Teacher, or content on the Platform does not constitute accreditation, recommendation, or a guarantee by Edvanz as to the quality of the educational service. The Platform does not guarantee that a Student will achieve any particular grade, pass, or academic improvement. The foregoing shall not prejudice Edvanz's responsibility for operating its technology services, its own acts and omissions, its legal obligations regarding Platform security and personal data protection, or any liability that may not lawfully be excluded or limited.
Legal Capacity and Use by Minors
To use the Platform, a User must have full legal capacity or, if a minor, use the Platform under the supervision and with the approval of their Parent or legal representative.
A minor Student may not create an Account, use the Platform, or provide personal data except under the supervision and with the approval of a Parent where such approval is legally required. The creation of a Student Account or the Student's use of the Platform shall not impose any personal obligation on the Student to pay Tuition Fees or other financial charges.
The Parent represents that they have the legal authority necessary to represent the Student and shall be responsible for supervising the Student's use of the Platform, safeguarding the Student's Account credentials, and providing accurate information concerning the Student.
Edvanz may request documents or information to verify the Student's age or the Parent's identity or legal capacity, and may suspend the Account where required approvals cannot be verified or where there are serious grounds to suspect that the information provided is inaccurate.
Any consent required for the processing of a Student's data shall be obtained through a process separate from acceptance of these Terms and Conditions.
Account Creation and Registration
The User shall provide accurate, complete, and up-to-date information when creating an Account. Such information may include the User's name, telephone number, email address, date of birth, educational level, Parent details, the name of the Educational Center or Teacher, and any other data necessary to provide the service.
The User shall update their information whenever it changes. The Platform may verify a telephone number, email address, or the User's identity by means of a verification code or any other appropriate method. Each User must have a separate Account. No Account may be created in another person's name, and no person's information, identity, telephone number, or email address may be used without authorization. An Educational Center or Teacher may create preliminary Accounts for Students or its personnel, provided that it has obtained the necessary consents and legal bases, supplies accurate data, and informs the Account holders of these Terms and the Privacy Policy. The mere creation of an Account by the Educational Center or Teacher shall not constitute final acceptance of these Terms by the Account holder. These Terms and the Privacy Policy must be presented to the Account holder upon first login, and electronic acceptance must be obtained before full use of the Account is activated. In the case of a minor Student, the acceptance or consent of the Parent or legal representative shall be obtained where legally required.
Edvanz reserves the right to reject, suspend, or cancel any registration that contains false, misleading, or impersonated information or that exposes the Platform or Users to security or legal risks.
Electronic Records and Consents
Edvanz may retain electronic records relating to Account creation and use, acceptance of these Terms and Conditions, review of the Privacy Policy, consents and acknowledgements provided by the User, and any actions or transactions carried out through the Account.
Depending on the nature of the action, such records may include the date and time of access or acceptance, the Account type, device, browser, and connection data, the action taken by the User, and the approved version of the Terms or policies in effect at the time of acceptance.
The User acknowledges that actions and consents made through the User's Account, registered telephone number, or registered email address shall be attributable to the User, and electronic records may be relied upon as evidence to the extent permitted by law, unless the User proves that the Account was compromised, used without authorization, or affected by a technical malfunction that materially impaired the validity of the action.
Edvanz shall retain electronic records for the period necessary to provide the service, evidence transactions, comply with legal obligations, and resolve disputes, in accordance with the Privacy Policy and applicable law.
Account Security and Login Credentials
The User is responsible for maintaining the confidentiality of passwords, verification codes, and login credentials and shall not disclose them to any other person.
A Student may not share their Account with classmates or allow any person to view content, take examinations, or access data through the Student's Account.
Activity conducted through an Account shall be attributed to its holder unless the User promptly notifies Edvanz that the Account has been compromised, login credentials have been lost, or the Account has been used without authorization.
The Platform may sign the User out of devices, require a password change, or temporarily suspend the Account where necessary to protect the Account, the Platform, or Users.
Student Account and Permitted Uses
Subject to the permissions determined by the Educational Service Provider, a Student Account may enable the Student to view videos and Educational Content, take Electronic Examinations, view In-Person Examinations and their results, monitor attendance, absence, and lateness, and receive notifications relating to schedules, assignments, examinations, and content.
The Platform may allow the Student to view the status of Tuition Fees relating to the Student's service, including whether such fees are due, collected, or overdue, solely for monitoring and notification purposes.
The Student is not responsible for paying or collecting any sums through the Platform, and the Platform does not currently enable Students to make payments through their Accounts.
The Student shall use the Platform solely for lawful educational purposes, personally complete examinations and assignments, refrain from impersonating another Student, and not permit any other person to use the Student's Account.
Parent Account
Subject to the available permissions, a Parent Account may be linked to the Account of one or more Students for whom the Parent is legally responsible and may be used to monitor attendance, absence, results, reports, notifications, Tuition Fee data, and collection status.
The Parent shall provide accurate information regarding their relationship to the Student, maintain the confidentiality of Account credentials, and refrain from using the Student's Account to take examinations or complete assignments on the Student's behalf.
The Parent shall promptly notify the Platform of any judgment, decision, or change affecting the Parent's legal capacity or right to access the Student's data.
The Parent shall be responsible for resolving any dispute concerning custody, guardianship, or the right to access data and for providing any official documents requested by Edvanz to verify the Parent's capacity.
Obligations of Educational Centers and Teachers
An Educational Center or Teacher shall possess the legal capacity, licenses, and approvals required to conduct its activities where applicable and shall provide accurate information regarding its name, status, experience, and place of service.
The Educational Center or Teacher shall use the Platform lawfully, accurately enter attendance, Tuition Fee, collection, examination, and grade data, and refrain from arbitrarily or misleadingly altering records.
The Educational Center or Teacher shall obtain all required consents and lawful bases before uploading Student or Parent data and shall not collect or upload data, images, recordings, or documents beyond what is necessary to provide the service.
An Educational Center or Teacher may grant certain administrators, supervisors, or personnel permissions to use its dashboard or associated Accounts, including to create Student Accounts, upload content, and enter attendance, Tuition Fee, collection, examination, and grade data.
The Educational Center or Teacher shall assign each person's permissions according to their role, limit access to data and features to what is necessary, periodically review such permissions, and revoke them immediately upon termination of the person's relationship, loss of capacity, or cessation of the need for Platform access.
The Educational Center or Teacher shall be responsible for all actions, data, and content originating from Accounts or persons whose Accounts it created or to whom it granted Platform permissions, and shall be responsible for their selection, supervision, allocation of permissions, and revocation of access when no longer required, unless the relevant action directly results from a security breach or technical malfunction for which Edvanz is liable under the law.
The Educational Center or Teacher shall promptly notify Edvanz upon becoming aware of unauthorized use of any associated Account or of any person continuing to access the Platform after their authority has ended.
The Educational Center or Teacher shall also promptly notify Edvanz upon discovering any material error, data leakage, or unlawful use of the Platform and shall cooperate with Edvanz in investigating complaints, violations, and requests from competent authorities.
Creation and Uploading of Educational Content
The Educational Center or Teacher shall create, prepare, select, upload, and manage its own Educational Content and determine the authorized Users or groups and the period for which such content will remain available, subject to the features offered by the Platform.
Edvanz does not create, prepare, select, or upload Educational Content on behalf of an Educational Center or Teacher and does not participate in determining curricula, topics, questions, model answers, grades, or assessment methods.
Edvanz does not review all materials before publication and does not approve their accuracy, quality, or suitability for Students. Its role is limited to providing the tools and technical infrastructure necessary to host, store, organize, and display content to authorized Users.
The Content Uploader is solely responsible for the correctness, accuracy, integrity, quality, and suitability of the content and represents that it holds all rights, licenses, and approvals required to upload and make the content available through the Platform.
It is prohibited to upload any content that is unlawful, misleading, abusive, indecent, or that involves bullying, harassment, discrimination, child exploitation, or infringement of intellectual property, privacy, or data protection rights.
Edvanz may suspend content, restrict access to it, or remove it upon receipt of a serious complaint or where there are reasonable grounds to believe that it violates the law, these Terms, or third-party rights. Edvanz's right to remove content does not impose any obligation on Edvanz to monitor all materials or review them prior to publication and does not relieve the Content Uploader of responsibility.
Attendance and Absence
The Platform provides tools for recording and monitoring Students' attendance, absence, lateness, and departure. Attendance may be recorded by a Teacher, an Educational Center administrator, or through any available technological method.
The Educational Center or Teacher is responsible for the accuracy of Attendance Records entered by it. The display of an attendance status on the Platform shall not constitute conclusive evidence of the Student's physical presence unless an approved and disclosed verification method has been used. The Student or Parent must notify the Educational Service Provider of any apparent error in an Attendance Record within seven days from the date on which it appears, or within such other period as the Educational Service Provider may specify.
Attendance Records are administrative data for monitoring purposes and do not constitute an official certificate issued by a governmental or educational authority unless formally certified by the competent authority.
Tuition Fees and Recording of Collections
The Educational Center or Teacher independently determines the amount of Tuition Fees and charges relating to educational services, their due dates, and payment terms.
Edvanz's current role is limited to providing technological tools that assist the Educational Service Provider in recording Tuition Fees, monitoring their collection status, and displaying such status to authorized Users.
Edvanz does not collect Tuition Fees from Students, Parents, or Payers and does not receive, hold, manage, or transfer such amounts to the Educational Center or Teacher.
Tuition Fees shall be paid directly to the Educational Center or Teacher by the Parent or Payer, whether in cash, by bank transfer, electronic wallet, point-of-sale device, or any other method accepted by the Educational Service Provider.
The Educational Center or Teacher is responsible for receiving and documenting amounts and issuing the related receipts or invoices and is also responsible for the accuracy of the amounts claimed, their due dates, and any discounts, waivers, or special payment arrangements.
Data displayed on the Platform constitutes administrative records entered by the Educational Service Provider and does not constitute a receipt, invoice, or evidence issued by Edvanz that any amount has been received.
The Educational Center or Teacher shall be responsible for all actions, data, and content originating from Accounts or persons whose Accounts it created or to whom it granted Platform permissions, and shall be responsible for their selection, supervision, allocation of permissions, and revocation of access when no longer required, unless the relevant action directly results from a security breach or technical malfunction for which Edvanz is liable under the law.
Edvanz shall not be liable for loss of funds, delivery of funds to an unauthorized person, failure to issue a receipt, or any dispute concerning the amount of Tuition Fees, the date of payment, or the payment method.
Edvanz may in the future make certain electronic payment methods available through integration with a Payment Service Provider or payment system operator licensed or registered with the Central Bank of Egypt or other legally competent authority, depending on the nature of the service. No electronic payment service shall be activated until the applicable specific terms have been presented, the parties responsible for processing the payment have been identified, the applicable fees and cancellation and refund policy
have been specified, the data processed has been disclosed, and all legally required approvals have been obtained. The reference to the possible future addition of electronic payment services shall not mean that Edvanz is presently a collection agent, payment service provider, or recipient of Tuition Fees. Upon activation, the roles of Edvanz, the Payment Service Provider, and the Educational Service Provider shall be clearly set out in the specific terms applicable to that service.
Cancellation and Refunds
The Educational Center or Teacher is responsible for establishing the cancellation and refund policy applicable to the educational services it provides and for informing the Payer of that policy before collecting any amounts.
As Edvanz does not currently collect payments, any request concerning service cancellation or a refund must be submitted directly to the Educational Center or Teacher that collected the relevant amount. The Educational Service Provider shall review the refund request, decide upon it, and return the relevant amount in accordance with its published policy and applicable law.
Edvanz shall not be liable for the rejection of a refund request, delay in processing it, or any dispute regarding the amount. Edvanz's role is limited to displaying any amendment entered by the Educational Service Provider in the relevant collection record.
Electronic Examinations
An Educational Center or Teacher may create Electronic Examinations and determine their date, duration, number of attempts, method of grade calculation, and marking and disqualification rules. The Educational Service Provider shall prepare and upload questions and model answers, determine grades and settings, and be responsible for their accuracy and suitability for Students. Edvanz does not formulate questions or answers, determine grades, or approve final results, even where marking is performed through automated tools provided by the Platform, as such marking depends on the data and settings entered by the Educational Service Provider.
The Student shall take the examination personally and is prohibited from impersonating another Student, obtaining assistance from another person, photographing, copying, or publishing questions, or using cheating methods or automated software.
The Platform may record technical data relating to an examination, including login time, response duration, device type, and navigation between pages, for security and anti-cheating purposes in accordance with the Privacy Policy.
The Student is responsible for providing a suitable device and internet connection and shall promptly notify the Teacher or technical support of any technical malfunction.
Edvanz does not guarantee that an examination will be repeated where the Student's internet connection is interrupted. An examination may be repeated or its duration extended where a general Platform malfunction is established to have materially affected Users.
In-Person and Off-Platform Examinations
The Educational Service Provider may use the Platform to record the dates of In-Person Examinations, Student attendance, grades, results, and notes.
Displayed results reflect the data entered by the Educational Center or Teacher, and the Educational Service Provider is responsible for their accuracy, approval, and correction of any errors. Displayed results and reports do not constitute an official certificate or statement of successful completion issued by an accredited governmental or educational authority unless formally certified by the competent authority.
Results constitute personal and educational data and may not be published or shared without authorization or an appropriate lawful basis.
Notifications and Electronic Communications
The Platform may send service-related notifications through the application, email, text messages, messaging applications, the registered telephone number, or the dashboard.
Notifications may include class and examination schedules, attendance and absence, Tuition Fees and collection status, new content, security alerts, and Account updates.
Notifications necessary for the operation of the service shall not be treated as marketing communications. Marketing communications shall be subject to separate consent where required.
The User is responsible for keeping contact details updated and reviewing notifications. Edvanz shall not be liable for non-delivery caused by inaccurate information, device settings, or telecommunications provider failures.
Acceptable and Prohibited Use
The User shall use the Platform lawfully and securely and is prohibited from hacking systems or Accounts, circumventing technical restrictions, introducing malicious software, or testing Platform vulnerabilities without authorization.
The User is also prohibited from impersonating another person, uploading unlawful or abusive content, engaging in bullying, threats, or harassment, or collecting User data without authorization. Questions, answers, or content links may not be unlawfully shared; an Account may not be sold, leased, or transferred; and Attendance Records, grades, Tuition Fees, or collection status may not be manipulated.
The use of artificial intelligence tools or automated software to complete examinations or assignments is prohibited where the Educational Service Provider does not permit such use.
Content Hosting License and Intellectual Property Rights
The Educational Center or Teacher retains its rights in the content it creates or uploads, provided that it owns such content or is duly licensed to use it.
For as long as the content remains available on the Platform, the Content Uploader grants Edvanz a non- exclusive, royalty-free license to host, store, technically reproduce, convert the format of, display, and transmit the content to authorized Users to the extent necessary to operate the Platform and provide its services.
Edvanz may engage hosting, cloud computing, and backup service providers without transferring ownership of the content to Edvanz.
All rights relating to the Platform itself, including software, designs, interfaces, databases, logos, trademarks, code, and technical features, remain owned by or licensed to Edvanz.
The Platform may not be copied, imitated, reverse engineered, or used to extract source code, and the Edvanz name or trademark may not be used without prior written approval.
The Content Uploader is responsible for any claim arising from its unauthorized use of third-party materials, images, books, videos, questions, or curricula.
Privacy and Data Protection
Personal data is processed in accordance with the Privacy Policy published on the Platform, which describes the categories of data, purposes and lawful bases of processing, parties with whom data may be shared, retention periods, and data subject rights.
The Platform may process identity and contact data, Student and Parent data, educational level, Educational Center and Teacher information, Attendance Records, Tuition Fees and collection data, examinations, results, content-viewing activity, device data, support records, and electronic consents. Data is used to create and administer Accounts, provide technology services, manage content, examinations, attendance, Tuition Fees, and collection status, secure systems, prevent cheating, provide support, and comply with legal obligations.
Edvanz may act as a data controller in relation to Account administration, security, and Platform operations, and may act as a data processor in relation to data entered by an Educational Center or Teacher, depending on the nature of the processing and the applicable agreements.
The Educational Service Provider is responsible for the lawfulness of the data, images, recordings, and documents it uploads.
The availability of data upload or storage tools does not constitute approval by Edvanz of the lawfulness of the collection or use of such data.
Edvanz does not currently collect or store Students' or Parents' bank card data because payment through the Platform is not currently available. If electronic payment is activated in the future, the Privacy Policy shall be updated and Users shall be notified of the data and parties associated with that service. Edvanz implements reasonable technical and organizational measures to protect data, which shall be retained for the period necessary to provide the service, comply with legal obligations, and resolve disputes.
Cookies and Similar Technologies
The Platform may use cookies, similar technologies, and software analytics tools necessary to operate the website and application, maintain login sessions, remember User preferences, enhance security, prevent fraud, measure Platform performance, and improve services.
Non-essential cookies, analytics tools, and technologies used for statistical or marketing purposes shall be subject to any legally required consents and shall be activated only in accordance with the User's choices where consent is required.
The types and purposes of such technologies, their providers, periods of use, and the methods for accepting, rejecting, or withdrawing consent shall be described in the Cookie Policy or privacy notice displayed to the User.
Third-Party Services and Links
The Platform may integrate with third-party services, websites, or applications, including electronic payment, hosting, messaging, video conferencing, and technical analytics services.
Such services are subject to their providers' terms and policies. Edvanz shall not be liable for their suspension, changes to their terms, prices, content, or practices, or for any delay or failure in transactions conducted through them.
The inclusion of a link to or integration with an external service does not mean that Edvanz endorses or guarantees that service provider or its content.
Platform Availability and Technical Failures
Edvanz endeavors to make the Platform available in a stable and secure manner but does not warrant uninterrupted or error-free operation at all times.
The Platform or certain services may be temporarily suspended for maintenance, updates, performance improvements, remediation of security vulnerabilities, compliance with legal requirements, or response to events beyond Edvanz's control. Emergency maintenance may be performed without prior notice. Edvanz shall not be liable for failures caused by the User's device, internet connection, telecommunications network, third-party applications, outdated software, force majeure, or cyberattacks that could not have been prevented despite the implementation of reasonable measures.
The Platform may retain data backups but does not guarantee that all data can be restored in every circumstance. The Educational Center or Teacher shall maintain appropriate copies of important records where legally or operationally required.
Technical Support and Service Levels
Edvanz provides technical support through the communication channels and during the working hours announced on the Platform and shall use reasonable efforts to investigate reports and technical issues and respond according to their severity, impact, and the number of affected Users.
When submitting a technical report, the User shall describe the issue, the date on which it occurred, the affected Account or service, and provide any available images, recordings, or technical information that may assist the investigation, without disclosing passwords or verification codes to any person.
These Terms do not guarantee any specific response time, repair time, or Platform availability percentage unless a separate commercial agreement between Edvanz and the Educational Center or Teacher expressly provides for a service level and response time.
Receipt of a report or commencement of its investigation shall not constitute an admission by Edvanz of liability for the issue or alleged damages. The Company shall not be liable for delays resulting from the User's failure to provide necessary information or cooperate in the investigation or remediation steps.
Complaints, Reports, and Unlawful Content
A User may contact Edvanz through the announced communication channels regarding technical failures, Accounts, and issues relating to Platform operation.
Edvanz is responsible for technical and security issues, while the Educational Service Provider is responsible for complaints relating to the quality of instruction, content, grades, attendance, Tuition Fees, refunds, and staff conduct.
Any User may report content that they believe violates the law, intellectual property rights, privacy rights, or children's rights, identifying the content complained of and the grounds for objection. Edvanz shall endeavor to respond to complaints within a reasonable period, but this does not guarantee acceptance of the User's request or resolution of the dispute in accordance with the User's preference. Submission of a complaint shall not prejudice the User's right to refer the matter to the competent authorities.
Edvanz may refer a complaint to the Content Uploader or temporarily suspend the content pending review, without being obliged to adjudicate legal disputes between the parties.
Edvanz treats seriously any report concerning child exploitation, harassment, bullying, threats, or content that endangers a child's safety or privacy.
The User shall promptly notify Edvanz upon discovering any content, communication, or use of the Platform that the User reasonably believes poses a risk to a child, identifying the relevant Account or content and providing any available information or evidence.
Where serious grounds exist, Edvanz may temporarily suspend the reported Account or content, restrict access to data or services, and take the technical measures necessary to protect the child and other Users while the matter is investigated.
Edvanz may also retain records relating to the incident, cooperate with judicial, security, or child- protection authorities, and provide data requested by them where necessary or legally required. Submitting a report to Edvanz does not replace notifying the competent authorities where the matter is urgent or presents an immediate risk to a child's safety.
Account Suspension or Termination
Edvanz may suspend a User's Account, restrict access to certain services, or terminate the User's use of the Platform where the User breaches these Terms, provides inaccurate or misleading information, impersonates another person, commits or is reasonably suspected of committing fraud or cheating, shares an Account or content without authorization, attempts to compromise systems, uploads unlawful content, misuses Student or User data, or creates serious security or legal risks for the Platform or any third party. Edvanz may also suspend or restrict the Account of an Educational Center or Teacher that fails to pay technical fees due to Edvanz under the applicable subscription or commercial agreement, in accordance with the terms and procedures of that agreement. This provision does not apply to Tuition Fees payable by a Student, Parent, or Payer to the Educational Service Provider.
In accordance with its policy and the service terms agreed with the Parent, an Educational Center or Teacher may request that a Student's access to certain content or educational services be restricted where Tuition Fees remain unpaid. Edvanz's role is limited to implementing the technical settings or instructions determined by the Educational Service Provider and Edvanz is not responsible for determining, claiming, or collecting the amount or adjudicating any related dispute.
Suspension or termination may also occur pursuant to an order of a competent judicial or governmental authority, upon termination of the User's relationship with the Educational Center or Teacher, where necessary to protect Students, Users, or the Platform, or where the service or product is discontinued. In non-urgent cases, the User may be notified of the breach and given a reasonable opportunity to remedy it, having regard to the nature and seriousness of the breach.
Suspension or closure of an Account shall not extinguish any amounts, obligations, or liabilities arising before the date of suspension or closure.
Account Closure and Data Deletion
A User may request closure of an Account through the Platform settings or by contacting technical support. Implementation of the request may require verification of the User's identity or, in the case of a minor Student's Account, the Parent's approval.
Edvanz may be unable to delete certain data immediately where retention is required to comply with a legal obligation, evidence transactions, prevent fraud, resolve a dispute, or protect legal rights. Closure of an Account shall not cancel existing financial obligations between the Payer and the Educational Service Provider, and the Student shall not be personally liable to pay such amounts. Closure of an Educational Center's or Teacher's Account shall not extinguish technical fees payable to Edvanz under a separate agreement.
End of the Relationship and Access to Content and Data
Upon termination of the relationship between Edvanz and an Educational Center or Teacher, the Company may restrict or discontinue access to the dashboard, Accounts, content, and associated data in accordance with the applicable commercial agreement, Privacy Policy, and data retention policy. Before termination of its Account, the Educational Center or Teacher shall export or retain a copy of the content, data, and records it requires using the tools available on the Platform, where an export feature is available.
Edvanz is not required to retain content or data, or continue making it available, after termination of an Account except for the agreed period or as technically or legally required. After that period, Edvanz may delete or anonymize the data, subject to data subject rights and legal obligations.
Temporary backups or technical, security, or legal records may be retained after Account termination and shall be used only for technical restoration, evidencing transactions, fraud prevention, or compliance with legal obligations.
Termination of an Account does not transfer ownership of Educational Content to Edvanz. Edvanz is not obliged to continue making the Educational Center's or Teacher's content available to Students after termination of its relationship with the Platform unless otherwise agreed in writing.
Termination of an Educational Center's or Teacher's Account shall not extinguish any technical fees, obligations, or liabilities arising before the termination date.
Disclaimers and Limitation of Liability
The Platform and technology services are provided on an "as available" basis to the extent permitted by law.
Edvanz does not warrant the accuracy of data entered by Users, the quality of Educational Content, the competence of an Educational Service Provider, a Student's success or achievement of any particular grade, or the continued availability of content without modification.
Edvanz shall not be liable for decisions of the Educational Service Provider or for errors in content, questions, grades, attendance, Tuition Fees, or collection status entered by the Educational Service Provider.
To the extent permitted by law, Edvanz shall not be liable for indirect or consequential losses or for loss of profits, opportunities, or data arising from use of, or inability to use, the Platform.
For Educational Centers and Teachers that pay technical fees to Edvanz, Edvanz's aggregate financial liability for all claims arising from the same event shall not exceed the total technical fees paid to Edvanz by the affected party during the three months preceding the event giving rise to the claim, or the amount specified in the applicable commercial agreement, whichever governs the relationship.
This limitation shall not apply in cases of fraud, gross negligence, willful misconduct, breach of data protection obligations, or any liability that may not lawfully be excluded or limited.
Indemnification
To the extent permitted by law, the Educational Center or Teacher shall indemnify Edvanz against damages, claims, judgments, and reasonable legal expenses arising directly from: its breach of these Terms or any agreement entered into with it; its uploading or making available content that infringes intellectual property, privacy, data protection, or other third-party rights; its collection, entry, or uploading of personal data without a lawful basis or required consent; the educational services, examinations, grades, Attendance Records, Tuition Fees, or collection activities that it provides or manages itself; or the acts of administrators, supervisors, personnel, or any persons to whom it granted Platform permissions. An individual User shall be liable to indemnify Edvanz only where a claim arises directly from an intentional, fraudulent, or unlawful act committed by that User and only to the extent permitted by law. No indemnity obligation shall apply to a minor Student except in accordance with the legal rules governing capacity and liability. Where reasonably practicable, the responsible party shall be notified of the claim within a reasonable period and given an opportunity to cooperate in its investigation and defense. No
settlement imposing an obligation or admission upon that party may be concluded without its consent, unless obtaining such consent is not reasonably practicable.
Force Majeure
No party shall be liable for any delay or failure to perform resulting from events reasonably beyond its control, including natural disasters, fire, interruption of electricity or communications, widespread cyberattacks, governmental decisions, general strikes, epidemics, wars, civil unrest, and failures of infrastructure providers.
The affected party shall take reasonable measures to mitigate the effects of the event and resume performance once the preventing cause ceases.
Amendments to Services and Terms
Edvanz may develop the Platform and add, modify, or discontinue certain features and services in accordance with operational needs and technological and legal developments.
Edvanz may also amend these Terms and Conditions. Users shall be notified of material amendments through the Platform, by email, or by any other appropriate means, and such amendments shall take effect on the date specified in the notice.
Certain material amendments may require renewed consent from the User. Acceptance of updated Terms shall not constitute automatic consent to new purposes of data processing where the law requires separate consent.
A User who does not agree to the amendments may cease using the Platform and request closure of the Account, without prejudice to obligations and rights arising before closure.
Term and Termination
These Terms shall take effect on the date on which the User accepts them and shall remain in force for as long as the User uses the Platform or maintains an active Account.
The User may cease using the Platform and request closure of the Account at any time. Edvanz may suspend or terminate the Account in accordance with these Terms.
The provisions relating to intellectual property, privacy, liability, indemnification, and dispute resolution shall survive termination of Account use to the extent necessary to give effect to their legal consequences.
Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.
In the event of a dispute, the parties shall attempt to resolve it amicably by submitting a written complaint and allowing the other party fifteen business days to respond.
If an amicable settlement cannot be reached, the competent Egyptian courts shall have jurisdiction over the dispute, without prejudice to any mandatory right or jurisdiction granted to a consumer or User by law. The User may submit a complaint to the Consumer Protection Agency, the Personal Data Protection Center, or any competent regulatory or supervisory authority where the conditions for its jurisdiction are satisfied.
General Provisions
These Terms, the Privacy Policy, and any service-specific terms constitute the entire agreement governing use of the Platform.
If any provision of these Terms is held invalid or unenforceable, the effect shall be limited to that provision and the remaining provisions shall remain valid and enforceable.
No failure or delay by Edvanz in exercising any right shall constitute a waiver of that right. The User may not assign the Account or any rights or obligations to a third party without Edvanz's prior written consent. Edvanz may transfer operation of the Platform or its rights and obligations to an affiliate or legal successor, provided that the mandatory rights of Users are not diminished.
Section headings are included for convenience only and shall not affect interpretation. Where a translated version of these Terms is provided, the Arabic version shall prevail in the event of any discrepancy, unless the law requires otherwise.
